Mergers & Acquisitions IT
Due Diligence
When
you decide to merge with or acquire another company, you want to know
what the IT issues are and how best to solve them. Our M&A team is
your due diligence solution
Insource
provides a Mergers & Acquisitions service focused specifically on
the information technology issues that you?ll come up against. First
of all, you want an independent and impartial assessment to validate
the data you?re getting from the target company and to uncover important
details that you?re not getting. What are the critical issues that
even your target company?s IT department may not be aware of? How
well will the two entities come together, technically and culturally?
What changes will be required and what are the pitfalls to avoid?
Our service answers these questions and deals with many other issues
that are crucial for a successful transition. We accomplish this by
utilizing a three part process:
Part I ? Target Company Systems ?Report Card?
A fact-finding project that includes a broad-based and impartial technology
review and assessment encompassing networks, servers, workstations,
enterprise management, security, and other services.
Part II ? Personnel Review/Assessment
The successful merger of two groups requires a detailed understanding
of their technical and cultural differences and a plan that addresses
each of the following:
- The
comparative strengths and weaknesses of each organization
- The
skill sets, gaps and required training of the target company
- Methodologies
and processes employed
- Redundancies
and overlaps
Part III ? M&A Recommendations
This includes documentation of the technology review, documentation
of future IT plans, and documented M&A objectives and strategies.
Insource then develops and delivers a recommendation and plan that
enables smooth integration of both the target company and client company
IT organizations and technology so that M&A objectives can be achieved,
including efficiencies and cost savings.
